1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SearchSignal ("Company," "we," "us," or "our") regarding your access to and use of the RankWriter.AI platform, website (www.rankwriter.ai), and related services (collectively, the "Service").

RankWriter.AI is a product operated by SearchSignal.

By accessing or using our Service, creating an account, or purchasing tokens, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

2. Description of Service

RankWriter.AI is a software-as-a-service (SaaS) platform that provides AI-powered content generation services for businesses and marketing professionals. Our Service includes:

  • Brand profile creation and analysis
  • AI-generated SEO-optimized content (blog posts, articles, landing pages)
  • HTML and DOCX document generation with schema markup
  • Brand voice customization and tone matching

The Service uses artificial intelligence, including third-party AI models, to generate content based on your inputs, preferences, and brand profiles.

3. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Service.

By using the Service, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Service under applicable laws
  • You will use the Service only for lawful purposes
  • If using on behalf of a business, you have authority to bind that business to these Terms

4. Account Registration

To access certain features, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

5. Token System and Purchases

Token-Based Model: Our Service operates on a token-based system where one (1) token equals one (1) piece of generated content, regardless of word count.

Token Packages:

  • Starter: 10 tokens ($29)
  • Professional: 50 tokens ($99)
  • Agency: 200 tokens ($299)
  • Enterprise: 500 tokens ($599)

Token Characteristics: Tokens are non-transferable between accounts, do not expire, have no cash value, and cannot be redeemed for cash.

Payment Processing: All payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. By making a purchase, you also agree to Paddle's Checkout Buyer Terms and Conditions.

6. Content Generation and Output

User Inputs: You are solely responsible for all information, data, keywords, brand profiles, and other materials you provide to the Service.

AI-Generated Nature: You acknowledge that:

  • All Output is generated using artificial intelligence
  • Output may require human review and editing before publication
  • We do not guarantee that Output is factually accurate, original, or free from errors
  • You are responsible for verifying accuracy and appropriateness before use

7. Intellectual Property

The Service, including its design, features, algorithms, branding, and underlying technology, is owned by SearchSignal and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

Restrictions: You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to build a competing product
  • Scrape, harvest, or extract data from the Service through automated means

8. Acceptable Use Policy

You agree not to use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
  • Create content that infringes intellectual property rights
  • Produce misleading, fraudulent, or deceptive content
  • Generate content promoting violence, illegal activities, or hate speech
  • Create adult, explicit, or pornographic content
  • Impersonate individuals or organizations
  • Circumvent security measures or access restrictions

We reserve the right to suspend or terminate your access for violations of this policy without refund.

9. Disclaimers and Limitations

"AS IS" BASIS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

No Guarantees: We do not guarantee that the Service will be uninterrupted, secure, or error-free; that generated content will rank in search engines; or that Output will meet your expectations.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEARCHSIGNAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Maximum Liability: Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SearchSignal, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

11. Termination

By You: You may stop using the Service at any time. Unused tokens remain available if you return.

By Us: We may suspend or terminate your access at any time for violation of these Terms, fraudulent or illegal activity, extended inactivity (over 24 months), or business reasons with reasonable notice.

Effect of Termination: Upon termination, your license to use the Service ends. We are not obligated to retain your data or unused tokens.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of South Africa, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration.

14. General Provisions

Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SearchSignal.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right does not constitute a waiver of that right.
